Music City Aquarium Association By-Laws
BY-LAW 1 Section 1: Membership
All prospective members must notify officer of request to join club.
Levels of membership Free- forum usage, browse classifieds, sell at auction, discounts to sponsors. Must rent table at swap if any are availible for $10 full $5 half table. Are eligible to vote. 70/30 split at auction.
Plus- $15 fee once per year. All benefits as above, but also get to sell in classified section, premium split at club auction. Free half table at swap if any are available. Are eligible to vote 90/10 split at auction on fish submitted at least one week in advance. Day of swap 80/20
Sponsor- $50 per year. Must provide some discount to members. Get company sales board on forum and banner on website. Free guaranteed space/table at all club events. 90/10 split at auction. Are eligible to vote.
Section 2: Dues
Dues are on a twelve (12) month basis from January to December for Plus Members and Sponsors. Those new members coming in at other times of the year shall have dues prorated to the nearest quarter, with full dues becoming due and payable the first January of his/her membership.
Section 4: Non-Payment of Dues
Non-payment of dues by a plus member shall be considered equivalent to free club member.
BY-LAW 2: Section 1: Duties of Officers
Officers will lead different committees and have final say in who helps on committee that he/she leads. Officer will have final say about vision for committee they oversee. Officers should seek advice from other officers and must have a written plan of action before using club funds. If dispute arises among officers about plan of action, and club funds, budgeting officer will have final say.

BY-LAW 3:
Section 1: Vacancy of an Elected Office
In the event of a vacancy of any elected office (as defined in the Constitution) for any reason, officers shall appoint a successor to serve the unexpired term within thirty (30) days of the vacancy.

Section 1: Voting Regulations
All voting will take place on forum in form of polls. Must run poll at least one week(7 days). It is up to members to check weekly for issues to be voted on. Only club members of various levels are allowed to vote.

Officers, by two thirds (2/3) majority vote, can expel any member of the society for the following reasons: 1. Illegal activity
2.Actions with intent to harm fellow members or attendees of MCAA sponsored events.
3. Sexual harassment of any kind

Proposed amendments to the By-Laws will be submitted in writing to the Board of Directors, signed by three (3) active members. The board will investigate and make their recommendations at the next general meeting. Voting will proceed at said meeting with a simple majority of eligible members present and voting required for passage.
BY-LAW 7: Section 1: Dissolution
In the event of the dissolution of MCAA, any remaining funds and other assets will be donated to Nashville Zoo.

By-Laws
BY-LAW 1
Section 1: Membership • All prospective members must submit an application accompanied by membership dues. Said application to be approved or rejected by the Board of Directors. If rejected, the membership chairperson shall provide an explanation and a full refund will be made. Section 2: Dues • Dues are on a twelve (12) month basis from January to December. Those new members coming in at other times of the year shall have dues prorated to the nearest quarter, with full dues becoming due and payable the first January of his/her membership. The Board of Directors will review the dues schedule each October. Their recommendations will be presented at the general meeting for approval. Section 3: Types of Membership • Single Membership: Any person 22 years of age or older • Student Membership: Any person 21 years of age or younger • Couples Membership: Husband and wife or cohabitation of significant others • Family Membership: Parents and their children living at home • Patron/Sponsor Membership: Business membership with complimentary booth space at club sponsored events Section 4: Reinstatement • In the event any member drops out or is expelled from MCAA for a period of one year or more and wishes to rejoin, he/she may rejoin the society. At the discretion of the Board of Directors, full former membership rights and privileges may be reinstated. No cancellations or refund of dues shall be paid if a member resigns before the close of his/her membership year. Section 5: Non-Payment of Dues • Non-payment of dues by a member shall be considered equivalent to a resignation. The name will be dropped from the membership rolls, unless extenuating circumstances are given or known. Section 6: Membership Benefits • The privileges of membership are: those of voting, the use of the library, and the participation in all functions of the society. 1. Voting: Eligibility to vote is limited to members in good standing. 2. Use of the Library: Every member in good standing has the use of the library. Members must abide by the library rules.
BY-LAW 2:
Section 1: Duties of Officers • President: The President shall preside at all general meetings, Executive Board meetings, and Board of Directors meetings at which he is present, shall exercise general supervision over the affairs and activities of the society, and shall serve as a member ex-official on all committees except the nominating committee. In addition, the President appoints all committee chairpersons, subject to the approval of the Executive Board. He/she also serves in any other capacity as required elsewhere in the Constitution and By-Laws. • Vice-President: In the absence of the President, the Vice-President shall assume the duties of the President. The Vice-President shall conduct the general correspondence of the society. He/she shall communicate with donors and make three (3) copies of all donations received. On copy will be filed with the President, one with the Treasurer, and one shall be retained by the Secretary. All donations and mail of the society shall be sent to a place approved by the Board of Directors. • Treasurer: The Treasurer shall receive all MCAA funds and keep them in a bank or repository selected or approved by the Executive Board. Accurate records must be kept of all monetary transactions. The Treasurer shall require a bill or signed voucher for all disbursements and will issue receipts for all incoming funds. The Treasurer must present a monthly financial report at each Board of Directors and general meeting. All records to be audited annually within sixty (60) days of the July regular meeting and to be kept a minimum of three (3) years. • Secretary: The Secretary shall keep the original minutes in duplicate of all Board of Directors, Executive and general meetings of the society, which shall be an accurate and official record of all business transactions. One copy shall be retained by the President. The Secretary shall maintain a current membership list and all other records as directed by the Board of Directors. • Sergeant-at-Arms: The primary function of the Sergeant-at-Arms is to see that all general meetings and other functions, as directed by the Board of Directors, are conducted in an orderly manner and to render assistance in any capacity for which he/she may be called upon. The Sergeant-at-arms shall be the official parliamentarian. During MCAA’s formative years, these duties may be assumed by any officer.

Section 1: Expulsion • The Board of Directors, by two thirds (2/3) majority vote, can expel any member of the society for the following reasons: 1. Illegal activity 2. Actions with intent to harm fellow members or attendees of MCAA sponsored events 3. Sexual harassment of any kind Section 2 • Elected officers may be expelled from office for failing to attend two (2) consecutive board meetings without extenuating circumstances or satisfactory notification.
BY-LAW 6:
Section 1: Committees • The standing committees are: 1. Bowl Show 2. Auction 3. Program 4. Breeders Award Program 5. Horticulture Award Program 6. Library 7. Publication 8. Website 9. Membership 10. Audit and Budget • The President, with the approval of the Executive Board shall appoint the chairpersons from the general membership. The chairpersons may establish their committees from the general membership, subject to approval of the Board of Directors. Section 2 • The President shall establish or dissolve such special committees, with the advice and consent of the Board of Directors, as from time to time may be required, to sustain the functions of the association. Section 3: Voting • Each standing committee shall be allowed one (1) vote at Board of Directors meetings, except as noted elsewhere.
BY-LAW 7:
Section 1: Quorum • During regular meetings, issues requiring a vote shall be decided by democratic majority. At the Board of Directors meetings, two thirds (2/3) of the Executive Board shall constitute a quorum.
BY-LAW 8:
Section 1: Order of Business • The order of business at all meetings of MCAA shall be as follows: 1. Call the meeting to order 2. Reading of the minutes of the previous meeting, unless published 3. Reading of the Treasurers’ report • At the Board of Directors – full report • At the general meetings – condensed report except for unusual transactions 4. Old Business 5. New Business 6. Program 7. Any other society functions 8. Adjournment

AMENDMENTS
Selling, trading, and buying of fish or dry goods on this site is encouraged!
Our club policy's state that you must be a member in good standing, (meaning you are paid to date of your current annual membership dues, or you are a paid, in good standing, sponsor of our club and its members.)
The exchange of fish/plants/dry goods/etc. is encouraged in order to expand each other’s hobby.
If you have aquatics (fish) that are not compatible, or you have the desire to try other kinds of aquatics (fish), or find that the species you own have multiplied and you would like to share, trade, or sell those, then this is the place to provide that information to the other members.
A desire to purchase a given species of an aquatic (fish) would be listed here as well.
Breeders that mass produce would not be welcome to list items for sale here as this is for the hobbyist. A breeder would, by policy within our organization, be required to purchase a sponsorship and have their lists offered elsewhere in the forum.

Any question of abuse will allow any moderator to immediately remove said ad or post, and then that member will be contacted to ask for explanation to the sitting board for consideration of hobbyist or business. The ad or post then, may or may not be re-posted on the MCAA forum, based on the final decision of the officers/board. d) In addition, As members in good standing, any paid member holding a current MCAA membership card, will have discounts at various local pet stores, and other various discount opportunities, as these opportunities change over time. e) There are future plans for non-club members to pay a table fee at the swap/meets if they desire to sell fish, aquatics, and/or dry goods without providing their yearly due's as a part of the club. Expulsion In Brief it states Expulsion is for 1) Illegal Activity 2) Actions with intent to harm and 3) Sexual Harassment of any kind. AMENDMENT -- 4) Excessive foul language that goes uncorrected after address by one or more acting officers. 5) A continuance to attempt to sell if the member is selling for a business, after posts have been removed and said member has been given an opportunity to defend his/her actions, and if determination has been made via the sitting officers and/or board that such said business appears to exist.
(Note-We recognize there are hobbyists with many tanks that often have many fish to sell, but the determination must be made on an individual basis to assure equality to all, that no businesses advertise and sell on our hobbyist oriented site.) (In addition if a business chooses to pay the annual Sponsor fee, then they will be given a forum section to list their items for sale separate from the hobbyist. We would hope this site on our forum would also have the capability for our members to contact the business via our forum for question and answer information) ------------------------------------------------------------------------------------------------------------------------------------------ In addition to The MCAA Constitution; a) There will be no smoking at any indoor club events. b) There will be no excessive foul language or disrespectful conduct or dress @ club events c) There will be no illegal activities @ club events. Amendment 5: Article 14 (Added Article) • Section 1: Forum Administration Responsibilities • As MCAA is a club within a forum via the internet and continues to be an internet exchange site for all registered forum members to utilize, and was created as such from the beginning, there needs to always be an appointed Webmaster. This said Webmaster will retain final control of the forums initial creation, make-up, content, and destruction, should that ever become necessary. We as signing Officers/Board Members to follow suit to this agreement, unless amended again. The Web Master, present and future, agrees to this responsibility and also agrees that in order to close, cancel, shut down, or by any other wording, end the Internet forum, that a discussion and quorum, 2/3rds vote of the acting Officers/Board Members, at the time, must vote and agree for this said decision and action to take place. In addition, in order to insure that internet club/forum business for MCAA is handled promptly as needed, the presiding President will have the appropriate administrative rights as referenced on the President Admin Rights document.

The officer receiving the funds and issuing the membership card will be responsible to inform all other officers of the transaction, and to inform the Web Master/site Administrator of President, and the Secretary, in order to add the new member to the active member list, so that said member may receive club benefits as available at the time of joining. The Secretary will keep the active member list for an accurate comparison with the Treasurers records of funds. • E). Any officer/board member who issues an MCAA membership card, will sign the back of the card, complete the front with the members name and expiration date of the following Spring swap/meet. • F). The 12 month period will be from one Spring swap/meet until the next, or about 1 year. • G). Prorating and amounts due will continue to be as per said Bylaw, or any future amendment to change the yearly amounts. If any issue is presented to club members, in good standing, for discussion and/or vote, the said topic could be presented to these same members via the forum or at the next open club meeting. C. If a vote is put before the club members, in good standing, via the forum, the topic would be posted for no less than 24 hours and no more than one (1) week before a vote could be called for. This would ensure adequate time for discussion, thought, and vote, without a rush decision being formed, yet be quick enough in the event that a decision would need to be made quickly. D. A demographic, majority rule vote, would be held to, in the event of any club member voting. Amendment 5: By-Law 5 • Section 1: Expulsion • 4. Amendments will either be published on your forum or read aloud at the next scheduled open meeting of MCAA for discussion, vote, and approval via officers. Any member, in good standing, is free to view a copy of these said club policy’s, amendments, and documents if desired or necessary.
Soon, a current sticky on the MCAA forum with the “MCAA Members Only” board, will reveal the MCAA Club Constitution, the MCAA Club By-Laws, and the MCAA Club Amendments to date. They will be for any club members, in good standing, to review or reference. Amendments will be updated as changes occur, within a reasonable period of time, after approval, and will be posted within this same section/board of our forum.
The MCAA officers and board members are the MCAA club and forum representatives for the registered forum members and club members. They will discuss, vote, and act with diligence, humility, humbleness, responsibility, and respect, always for the betterment of the MCAA, with all decisions made for the MCAA in accordance with the By-Laws, Constitution, and Amendments of the MCAA.
